Terms and Conditions

1. Introductory Provisions

These Terms and Conditions (hereinafter "T&C") govern, in accordance with Section 1751(1) of Act No. 89/2012 Coll., the Civil Code, as amended (hereinafter the "Civil Code"), the mutual rights and obligations of the contracting parties arising from or in connection with a purchase contract concluded between the seller and the buyer.

The T&C form an integral part of every purchase contract. Any deviating provisions in the purchase contract shall take precedence over the T&C.

2. Contracting Parties

Buyer: a legal entity or a self-employed natural person who concludes a purchase contract with the seller by means of remote communication.

3. Subject Matter of the Contract

The subject matter of the purchase contract is the transfer of title to a used machine tool or accessory specified in the purchase contract (hereinafter "goods") from the seller to the buyer for the agreed purchase price.

The buyer acknowledges that the goods are used and may show signs of normal wear and tear consistent with their age and previous use. The specific condition of the goods is described on the machine data sheet on the seller's website and/or in the price quotation.

Prior to concluding the contract, the buyer is recommended to carry out a personal inspection of the machine at the seller's premises or at the location where the machine is situated.

4. Price and Payment Terms

• Prices listed on the website are indicative and are stated exclusive of VAT unless otherwise indicated.
• The binding price is set out in the price quotation and/or in the purchase contract.
• Standard payment terms: 30% deposit upon order confirmation, balance due before dispatch of the machine, unless otherwise agreed.
• The invoice constitutes a tax document; the standard payment term is 14 days from the date of issue.
• In the event of late payment, the buyer shall be obliged to pay statutory default interest.

5. Delivery Terms

Unless otherwise agreed, the machine is handed over at its current storage location on the basis of delivery parity EXW Incoterms 2020. By agreement, the seller may arrange loading, transport, customs clearance and packaging; such costs are invoiced separately.

6. Handover and Acceptance

A handover protocol shall be drawn up upon the handover and acceptance of the goods. Title passes to the buyer upon full payment of the purchase price. The risk of damage to the goods passes upon acceptance.

7. Warranty and Claims

Given the nature of the goods (used machinery), the statutory warranty applicable to new goods does not apply. A quality warranty is agreed individually in the purchase contract, typically for a period of 3 months from handover, and covers the functionality of the machine's basic mechanical components.

The warranty does not cover defects caused by improper operation, normal wear and tear, transport damage, unauthorised repairs or consumable parts.

The buyer is required to submit any warranty claim in writing to fm@fmt-group.com.

8. Liability for Defects

The seller is liable for defects that the goods had at the time of handover. The maximum amount of compensation for damages is limited to the purchase price of the respective machine. The seller shall not be liable for consequential or indirect damages (loss of profit, downtime, etc.).

9. Withdrawal from the Contract

The purchase contract is concluded between business entities — the 14-day right of withdrawal pursuant to Section 1829 of the Civil Code does not apply. Withdrawal is possible by mutual agreement or in the event of a material breach of contractual obligations by the other party.

10. Machine Buy-Back

These T&C apply mutatis mutandis to the purchase (buy-back) of machines, with the roles of the contracting parties reversed. Process: enquiry form → price quotation within 5 business days → physical inspection → purchase contract → dismantling and collection arranged by F.M.T. Group.

11. Personal Data Protection

The processing of the buyer's personal data is governed by a separate document "Privacy Policy".

12. Final Provisions

• The contractual relationship is governed by the laws of the Czech Republic (or the Slovak Republic for contracts concluded by the SK branch).
• Disputes shall be resolved primarily by mutual agreement; if no agreement is possible, the court with jurisdiction shall be determined by the registered seat of the seller.
• The seller reserves the right to amend the T&C unilaterally; the current version is always available on this page.
• These T&C enter into force on 1 January 2026.
